These Terms and Conditions govern your use of Wuro's services, website, and applications. By using our services, you agree to be bound by these terms.

Please read these Terms and Conditions (these "Terms") carefully before using the Service (as defined below), either through our website at www.mywuro.com (the "Website"), the web-based application (the "Web App") and/or the Wuro mobile application (the "Mobile App"), in each case operated by Wuro Ltd. ("Wuro", "us", "we", "our"). All references to "you" or "your" herein shall refer to the end customer purchasing access to the Website, Service, Web App, and/or Mobile App described herein.

These Terms constitute a legally binding agreement between you and Wuro. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. Wuro is designed specifically for African farmers and agricultural operations, providing a complete farm management ecosystem with four integrated modules: Wuro Herd for livestock management, Wuro Harvest for crop intelligence, Wuro Lift for agri-financing, and Wuro Connect for marketplace and community.

Conditions of Use & Acceptance of Terms

Section 1

Wuro provides its Service, Website, Web App, and Mobile App to you (and your employees, agents, or other representatives (collectively, "Representatives"), as applicable) subject to these Terms, which may be updated from time to time without notice. You are encouraged to check back frequently, as our Terms may change. Our services are designed specifically for African farming conditions, with offline capabilities, local language support, and features tailored for African crops, livestock, and agricultural practices.

You may not use the Website, Web App, and/or the Mobile App if you object to any of these Terms. The failure of Wuro to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

These Terms are effective as of the date you or your Representatives first log into, access or use the Service ("Effective Date").

Privacy Policy & Confidentiality

Section 2

Before you use the Website, Web App, and/or the Mobile App, we advise you to read our privacy policy. Our privacy policy governs our collection and use of your personal information, and reading it will help you better understand our practices regarding registration data and other information relevant to your privacy.

Your Security Responsibilities

  • Employ reasonable security precautions in your use of our services
  • Encrypt sensitive information such as social security numbers
  • Not use Confidential Information for any purpose other than authorized use
  • Not disclose Confidential Information to any third party without written authorization
  • Take reasonable precautions to protect Confidential Information
  • Promptly notify Wuro of any misuse or misappropriation of Confidential Information

Confidential Information Definition

"Confidential Information" means any confidential or proprietary information Wuro provides to you in any form. However, Confidential Information does not include information that: (a) is in your possession at the time of original disclosure by Wuro; (b) is independently developed by you without use of or reference to information provided by Wuro; or (c) becomes known publicly, before or after disclosure, other than as a result of your improper action or inaction.

Description of Service

Section 3

Wuro provides users with access to a complete farm management ecosystem designed specifically for African farmers and agricultural operations (collectively, the "Service"). The Service includes four integrated modules: Wuro Herd for livestock management with RFID and GPS tracking, Wuro Harvest for crop intelligence and farm records for African crops like rice, cassava, and maize, Wuro Lift for agri-financing and input credit solutions, and Wuro Connect for marketplace and community features.

You also understand and agree that the Service may include certain communications from Wuro, such as Service announcements and administrative messages, and that these communications are considered part of the Service. The Service is designed to work offline in areas with poor connectivity and includes features specifically tailored for African farming conditions. Unless explicitly stated otherwise, any new features enhancing the current Service shall be subject to these Terms.

License and Site Access

Section 4

We grant you a limited non-exclusive, non-transferable, non-sublicensable, revocable right to access and make internal business use of this Website, Web App, and the Mobile App in accordance with these Terms.

Usage Limits

Wuro may establish general practices and limits concerning use of the Website, Web App, and the Mobile App. We reserve the right to change these general practices and limits at any time, in our sole discretion, with or without notice.

Account Termination

Wuro reserves the right to deactivate accounts that violate our Terms. We may terminate your password, account, or use of the Service and may remove and discard any data or content within the Service for any reason, including if we believe that you have violated these Terms.

Service Modifications

Wuro reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Payment Terms and Billing

Section 5

Payment for the Service is due in advance of the applicable subscription period. All fees are non-refundable except as required by law or as otherwise specified in these Terms.

Payment Methods

We accept major credit cards and other payment methods as specified during the checkout process.

Failed Payments

If payment fails, we may suspend your access to the Service until payment is received.

Billing Terms

  • Subscription fees are billed in advance
  • Automatic renewal unless cancelled before the renewal date
  • Price changes will be communicated with 30 days notice
  • Taxes may apply based on your location
  • Refunds are provided only as required by law

User Responsibilities and Prohibited Uses

Section 6

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

You May:

  • Use the Service for lawful agricultural and farming purposes
  • Maintain accurate account and farm information
  • Comply with all applicable local and national laws and regulations
  • Respect intellectual property rights
  • Use the Service in accordance with these Terms and African agricultural best practices

You May Not:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access
  • Use the Service for illegal activities

Limitation of Liability and Indemnification

Section 7

Important Legal Notice

YOU EXPRESSLY UNDERSTAND AND AGREE THAT WURO AND ITS OFFICERS, DIRECTORS, OR EMPLOYEES SHALL NOT BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA; BUSINESS INTERRUPTION; OR OTHER LOSSES RESULTING FROM:

  • The use or the inability to use the Website, Web App, and/or the Mobile App, or the Service
  • The cost of procurement of substitute goods and services
  • Statements made or conduct of any third-party on the Service
  • Any other matter related to your use of the Service

Indemnification

You agree to defend, indemnify, and hold Wuro, its subsidiaries, affiliates, officers, agents, and employees harmless to the fullest extent from and against any and all liabilities, costs, demands, causes of action, damages, and expenses (including reasonable attorney's fees) made by any third party due to or arising out of your use of the Service, violation of these Terms, or violation of any rights of another.

Termination and Suspension

Section 8

These Terms will commence on the Effective Date and extend for the applicable period of your subscription. At the end of the applicable subscription term, these Terms and your subscription shall automatically extend for an additional period equal to your original subscription term, unless either party delivers at least thirty (30) days prior written notice to the other party of its desire to terminate.

Suspension Reasons

Wuro may suspend access to any Service for security threats, payment failures, or Terms violations.

Termination Effects

Upon termination, all licensed rights cease and you must discontinue all access to the Service.

Upon Termination:

  • Any amounts owed to Wuro will be immediately due and payable
  • All licensed and access rights granted will immediately cease
  • You shall discontinue all access and use of the Service
  • Wuro may disable access to your account

Governing Law and Disputes

Section 9

These Terms will be governed by and construed in accordance with the laws of Sierra Leone, without regard to principles of conflict of laws. Any dispute related to your use of the Service shall be governed by and construed in accordance with the laws of Sierra Leone, and you submit to the jurisdiction of the courts located within Sierra Leone for the resolution of any disputes.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within ONE YEAR after such claim or cause of action arose or be forever barred.
